Service Agreement
- Authorization
Hereafter, Prince George’s County Family Justice Center (PGCFJC) will be known as the “Client” and Chike Okwara (Blue Creek Valley) will be known as the “Developer”The above named client is engaging Chike Okwara (Blue Creek Valley) as an independent contractor for the specific purpose of Developing a Fully Functioning Website.
- Graphic Creation
It is anticipated that the Developer will create, capture or receive from the Client all the graphic elements necessary to complete the Client’s web site. This includes creating ancillary images, animated graphics and banner advertisements. The Developer also agrees that all graphics utilized in the development of the site have not been acquired illegally from other sites or sources and upon final payment of the project; the graphics will be properties of the Clients.
- Design and Development
The Developer will begin by analyzing the client’s website’s current strengths and weaknesses to identify opportunities for improvement and ensure optimal performance. From there, the Developer will design and develop responsive, visually appealing pages that not only enhance user experience but also align seamlessly with your organization’s brand identity, creating a cohesive and professional online presence. - Content Strategy
The Developer will craft a content strategy designed to clearly and effectively convey your organization’s message, ensuring it resonates with your target audience. To enhance engagement and create a dynamic user experience, the Developer will seamlessly integrate multimedia elements, such as images, videos, and interactive features, where appropriate. - Functionality
The Developer will implement a user-friendly chat line feature that enables clients to conveniently complete intakes online, streamlining the process and enhancing accessibility. Additionally, the developer will ensure the website is fully responsive and compatible across all browsers and devices, providing a seamless experience for every user. - Testing
As the Developer, we will perform comprehensive testing to identify and address any bugs or technical issues that may arise. Our priority is to ensure the website operates at its best, providing the client with a high-performing and reliable platform for their users. - Training
The Developer will provide training for the client’s team as needed, ensuring they are confident and equipped to manage and update the website’s content effectively. This support will empower the client to maintain their online presence with ease and autonomy. - Project Timeline
The estimated timeline for the completion of the project is one-two weeks from the
date of the project commencement. This timeline may be subject to change based
on project scope and client feedback. - Client Responsibilities
As the Developer, we will ensure timely communication with the client during the design and development phases, providing feedback and updates to keep the project on track. We will also collaborate closely with the client to incorporate any necessary content and multimedia elements, ensuring the final website aligns perfectly with their vision and needs. - Additional Services
Any additional features or services requested outside the initial scope of work will
be subject to additional costs, to be mutually agreed upon - Search Engine Registration
The Developer will optimize the Client’s web site with appropriate titles, keywords, descriptions and text and can thereafter submit the Client’s web site to some of the major search engines and directories such as Google, Yahoo and MSN. - Copyrights and Trademarks
The Developer represents to the Client and unconditionally guarantees that all elements of text, graphics, photos, designs, trademarks, or other artwork used by the Developer for inclusion in the Client’s web site have been obtained legally. All elements of text, graphics, logo, photos, designs, trademarks, or other artwork used in the creation of the website shall become copyrighted property of the Client upon final payment. - Design Credit
Client shall allow the web site created for the Client to be included in the Developer’s portfolio. - Nondisclosure
The Developer, its employees and subcontractors agree that, except as directed by the Client, it will not at any time during or after project completion disclose any confidential information, source code, work-up files, and any program(s) associated with the project to any person whatsoever. The Developer also agrees not to reproduce/clone the Client’s website for the benefit of any individual or entity other than the Client. Likewise, the Client agrees that it will not convey any confidential information obtained about the Developer to another party. - Entire Understanding
This contract constitutes the sole agreement between the Developer and the Client regarding this project. It becomes effective only when payment is made.
